These Terms of Service (“Terms”) govern access to and use of software, platforms, applications, websites, support services, and related technology services provided by Heir Labs, a subsidiary of Heir Holdings Group LLC (“Heir Labs,” “we,” “us,” or “our”).
By purchasing a subscription, creating an account, accessing our software, or otherwise using our services, you agree to these Terms.
Heir Labs develops and provides software platforms, digital tools, automation solutions, data-management systems, analytics, artificial-intelligence-enabled features, and related technology services.
Specific functionality, pricing, service levels, implementation requirements, and other product-specific terms may be described in an order form, subscription, proposal, statement of work, licensing agreement, or other agreement between Heir Labs and the customer.
If product-specific terms conflict with these general Terms, the product-specific agreement will control for that product or service.
Unless otherwise agreed in writing, Heir Labs grants customers a limited, non-exclusive, non-transferable, revocable license to access and use subscribed software for legitimate internal business purposes during an active subscription.
Purchasing a subscription provides a right to use the applicable service. It does not transfer ownership of the software, source code, platform, design, intellectual property, underlying technology, or proprietary systems to the customer.
Certain Heir Labs products are offered on a recurring subscription basis.
By purchasing a recurring subscription, you authorize Heir Labs and its payment processor to charge the payment method provided at the beginning of each applicable billing period until the subscription is canceled or terminated.
Unless otherwise stated in a separate agreement, subscriptions are billed on a month-to-month basis and automatically renew each billing period.
Pricing applicable to a specific customer or product will be displayed during checkout or documented in the applicable agreement.
Unless otherwise stated in a separate agreement, customers may cancel a month-to-month subscription before the next renewal date to prevent the next recurring charge.
Cancellation stops future renewals but does not ordinarily result in a refund of charges already incurred for the current billing period, except where required by law or expressly agreed by Heir Labs.
Access may remain available through the end of the paid billing period unless otherwise specified.
Where support is included with a subscription, Heir Labs may provide reasonable technical assistance, maintenance, bug fixes, and minor modifications related to the existing functionality of the subscribed service.
Requests that materially alter the original scope, introduce substantial new functionality, require custom integrations, or constitute a separate development project may require additional fees and a separate agreement.
Heir Labs may periodically modify, improve, update, or replace features as part of the continued development of its services.
Customers are responsible for maintaining accurate account information, safeguarding login credentials, controlling authorized users, and using Heir Labs services lawfully.
Customers may not misuse the services, attempt unauthorized access, interfere with system security, reverse engineer proprietary software except where such restriction is prohibited by law, resell access without authorization, or use the services in violation of applicable laws or regulations.
Customers retain ownership of data they lawfully provide to Heir Labs services.
Customers are responsible for ensuring they have the necessary rights and permissions to provide such data.
Heir Labs may process customer data as reasonably necessary to operate, secure, maintain, support, and improve the applicable service, subject to applicable agreements and law.
Heir Labs and its licensors retain all rights, title, and interest in Heir Labs software, source code, interfaces, designs, workflows, documentation, algorithms, models, trademarks, branding, and other proprietary technology and intellectual property.
No ownership rights are transferred through a subscription unless expressly stated in a separate written agreement.
Heir Labs may suspend or terminate access when reasonably necessary because of nonpayment, material violation of these Terms, unlawful activity, security threats, misuse of the service, or other material breaches of an applicable agreement.
Where reasonably practicable, Heir Labs may provide notice and an opportunity to resolve the issue before termination.
Heir Labs products may interact with third-party hosting providers, databases, payment processors, APIs, artificial intelligence services, or other external technology.
Those third-party services may be governed by their own terms and policies. Heir Labs is not responsible for outages, changes, or failures caused solely by third-party services outside our reasonable control.
Except as expressly provided in a written agreement or required by law, Heir Labs services are provided on an “as available” basis.
We do not guarantee uninterrupted or error-free operation or that predictions, forecasts, analytics, recommendations, or AI-generated outputs will always be complete or accurate.
Customers remain responsible for business decisions made using information produced by the services.
To the maximum extent permitted by applicable law, Heir Labs and Heir Holdings Group LLC will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from use of the services.
Except where prohibited by law or otherwise agreed in writing, aggregate liability arising from a service will not exceed the amount paid by the customer to Heir Labs for that service during the 12 months preceding the event giving rise to the claim.
Heir Labs may update these Terms as its products, services, or legal obligations evolve.
Material changes may be communicated through the applicable service, website, email, or another reasonable method. Continued use following the effective date of revised Terms constitutes acceptance where permitted by law.
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles.
